Contracts and Agreements Investment Opportunities Below are the standard agreement policies from Certified Authentic Sports® and franchisees.
These policies are policies we at Certified Authentic Sports, LLC will use in the franchising of our kiosk and storefronts. Certified Authentic Sports® Description of Business General . As used in this Form 10-KSB “we”, “our”, “us”, “the Company” and “Certified” refer to Certified Authentic Sports LLC. and its subsidiaries unless the context requires otherwise. Certified Authentic Sports® is a Georgia Corporation which was formed in January 2000. The Company operates through its wholly-owned subsidiaries with business operations in franchising, manufacturing and distribution of sports memorabilia. Certified Authentic Sports® is in the business of selling Certified Authentic Sports® retail store franchises and generates revenues through the sale of those franchises and continuing royalties. The manufacturing and distribution business is conducted through Certified Authentic Sports® and through the Certified Authentic Sports Art division, which is the Company's entry into original art and reproductions of sports personalities and events. Certified is a wholesaler of sports memorabilia products and cases. Certified employs the trademark “Certified Authentic Sports®. Certified Authentic Sports® is a wholesaler and manufacturer of sports and celebrity memorabilia products and cases. Certified Authentic Sports® also organizes, operates and participates in hobby and collectible shows. Through The Certified Authentic Sports® promotion Organization the Company is engaged in the representation and marketing of professional athletes. The Company has non-exclusive informal agreements with numerous well-known athletes who frequently provide autographs at agreed-upon terms. The Company also plans to enter into exclusive agreements with athletes. the past several years. Autograph Signing: Sports memorabilia is a multi billion dollar a year industry. Its strength is in the certified and authentic autograph segment. We at Certified Authentic Sports® have set ourselves apart from the rest of the industry by manufacturing the most visually stunning product in our industry. It is safe to say the inclusion of authentic autographs will instantly increase the sale and distribution and profit margin of that product. The Company conducts its Certified Authentic Sports ® operations through Certified Authentic Sports® manufacturing.
Storefront: A storefront Franchise allows you the full range of Certified Authentic Sports® products including the premium Shadowboxes. There is an initial franchise fee of $35,500. Other fees paid by franchisees including ongoing royalties, and marketing and development fund contributions are the same as under a Standard franchise agreement.
Kiosk: A Kiosk franchise provides a franchisee the same rights as a Standard franchise, except that the franchisee is licensed to open a freestanding Kiosk for an initial franchise fee of $20,000 rather than $35,500 for a store. Other fees paid by Kiosk franchisees, including ongoing royalties, and marketing and development fund contributions are the same as under a Standard franchise agreement.
Area Development: An Area Development agreement grants rights to develop a minimum of four Certified Authentic Sports ® stores in a designated area. The stores are required to be open pursuant to a specified time schedule. The developer must execute separate Standard franchise agreements for each store as it is opened. Upon execution of the Area Development agreement, the developer is required to pay Certified Authentic Sports $7,500 for each store to be opened, with a minimum payment upon execution of $30,000. The developer must obtain Certified Authentic Sports approval for each store site the developer proposes to open. The developer then pays Certified Authentic Sports an additional $20,000 for each store upon execution by the developer of a lease for that store. Development Agreements are not transferable without the consent of Certified Authentic Sports .
Conversion: Certified Authentic Sports® offers Conversion franchises to certain operators of businesses which currently sell sport related merchandise, memorabilia, trading cards and similar products. Among other conditions to the granting of a Conversion franchise, an operator must have run such a business for a minimum of three months. Such a business owner will execute a Standard franchise agreement as well as a Conversion franchise addendum. A Conversion franchisee is required to pay Certified Authentic Sports® $20,500 upon execution of the Standard franchise and the Conversion addendum. The Conversion franchisee is required to pay to Certified Authentic Sports all amounts required in the Standard franchise. Conversion franchises are not transferable without the consent of Certified Authentic Sports. Competition.
Certified Authentic Sports® competes with other larger, more well-known and substantially better funded franchisers for the sale of franchises. Certified Authentic Sports® stores compete with other retail establishments of all kinds. The Company believes that the principal competitive factors in the sale of franchises are franchise sales price, services rendered, public awareness and acceptance of trademarks and franchise agreement terms. The Company's retail stores compete with other retail establishments, including the Company's franchise stores, selling sports related merchandise, memorabilia and similar products. The success of these stores depends partly on the quality and authenticity of products. Certified Authentic Sports, LLC. and Subsidiaries The Company has objects which are autographed. Those products are available through numerous suppliers. Certified Authentic Sports® customer base varies greatly and includes, for example, internet companies, traditional catalog retailers and retail stores which sell sports and celebrity memorabilia products and cases. Certified Authentic Sports® franchise stores purchase products from Certified Authentic Sports® and have historically provided approximately eight percent of Certified Authentic Sport's® revenue. The sports memorabilia industry faces several challenges, most notably the assurance of product authenticity. Through its caution in only selling items produced internally or purchased from authorized agents, witnessed by an Certified representative, Certified avoids significant authenticity problems. Certified feels the way it has achieved a competitive advantage over its competitors is through accurate and timely shipping. Certified Authentic Sports® competes with several major companies and numerous individuals in the sports and celebrity memorabilia industry. Certified Authentic Sports® believes it competes well within the industry because of the reputation it has established in its five existence. Certified Authentic Sports® focuses on ensuring authenticity creating industry leading products and providing the best possible customer service. Certified Authentic Sports® has concentrated on manufacturing and selling memorabilia items of athletes and celebrities that have a broad national appeal. Several of its competitors tend to focus on specific regional markets due to their relationships with sports franchises in their immediate markets. The success of those competitors typically depends on the athletic performance of those specific franchises. Additionally, Certified Authentic Sports® typically focuses on the four core sports that provide the greatest source of industry revenue, baseball, football, NASCAR, and Basketball. Within the manufactured product line of business, Certified Authentic Sports® competes with other companies which mass produce products and cases.
Venture History: Certified Authentic Sports, LLC was established as a full service Sports Memorabilia, Graphics, Custom Framing, and Art Company in 2000 . The vision for Certified Authentic Sport, LLC began 12 years ago with Mr. Lawrence Andrew Clark, III. As a child the fundamental values of sports has played a significant influence in the discipline and development of Mr. Clark and many of today's phenomenal athletes. As a student of the business administration program at Georgia Perimeter College, Georgia State University and an under study of Robert J. Summer's, owner of Superstar Awards formerly located in Underground Atlanta, Clark decided to combine his love for sport with business. Through close attention to the sports consumer market and the creative finesse of designing the most aesthetic products for the consumer, Certified Authentic Sports is able to satisfy an array of needs for sports enthusiasts. To date the products that Certified Authentic Sports, LLC distribute are unarguably the finest products in the sports memorabilia industry. Certified Authentic Sports, LLC began marketing to sports enthusiast of all ages by taking private orders via word of mouth. Due to the array of networking by Lawrence Andrew Clark III many of his clients included not for profit charities and organization of professional athletes such as Ray Buchanan, T.J Duckett, Jamal Lewis, and Dominique Wilkins. Other clients whom Certified Authentic Sports have produced products for is The Economic Empowerment Initiative, The March of Dimes among many others. Even with limited resources and exposure Certified Authentic Sports, LLC has gained much attention and interest from a variety of sports enthusiast and memorabilia companies. We currently supply products to our distributing competitors by supplying them with memorabilia products. We supply two of the largest memorabilia companies, Field of Dreams and Sports Avenue. An increase in financial resource will allow the company to truly be the leading competitor in the sports memorabilia industry.
